Abstract
:
As they were divided into two major sections, first, the organizational restructuring based on one company, and the second is the organizational restructuring based on more than one company. Each section has a separate chapter. In Chapter One, it addressed both transformation and splitting as ways of organizational restructuring based on a single company. In Chapter Two, it moved on to addressing both mergers and acquisitions as ways to manage multi-company structuring. The research found that the Saudi regulator has dealt with the regulatory systems of all methods of organizational restructuring. The most prominent of these regulations in principle is that all methods of organizational restructuring can be done while the company is in the stage of liquidation, except for transformation. That restructuring does not necessarily affect the legal personality of both the transformed (acquired) company and the merging (acquiring) company by consolidation. In addition, each method of organizational restructuring has a dedicated mechanism for its implementation, subject to what the competent authority will determine, which will appear in the regulations that will appear complementary to the regulation of the companies’ rules. This research also found that one of the most important objectives of organizational restructuring is to reach economic concentration that improves the companys performance which is reflected in its profits. Furthermore, the Saudi regulator has also established regulations governing access to economic concentration, represented by conditions that must be met in order to obtain approval. It also found that each method of organizational restructuring has different forms that emerge from it and that the Saudi regulator dealt with them. However, the regulator did not address the regulations of both transformation and division except in the Companies
